Terms & Conditions

1. Agreement to Terms

By accessing our website or engaging the services of Glovaski Global, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services. These Terms and Conditions apply to all clients, visitors, and users who access or use our services.

Glovaski Global is a web design agency owned and operated by Giovanni Glovaski, based in Tampa, Florida. We reserve the right to update or modify these Terms at any time. Continued use of our services following any changes constitutes your acceptance of the revised Terms.

2. Services

Glovaski Global provides professional web design, brand identity, UI/UX strategy, and digital presence services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate written agreement, proposal, or statement of work agreed upon by both parties prior to commencement of work.

We reserve the right to refuse service to anyone for any reason at our discretion. We do not guarantee that our services will meet every specific expectation, but we are committed to delivering work of the highest professional standard.

3. Project Process & Client Responsibilities

A successful project requires active collaboration. By engaging our services, you agree to the following responsibilities:

Timely Communication: You agree to respond to requests for feedback, approvals, and content within a reasonable timeframe. Delays caused by the client may result in adjusted timelines and additional fees.

Content Provision: You are responsible for providing all necessary content, including text, images, logos, and brand assets, unless otherwise agreed in writing. Glovaski Global is not liable for delays resulting from late or incomplete content delivery.

Accuracy of Information: You agree to provide accurate and complete information necessary for the completion of your project. Any errors or omissions in client-provided content are the sole responsibility of the client.

Approvals: Written approval (including email) at key project milestones constitutes acceptance of the work completed to that stage. Significant changes requested after approval may be subject to additional charges.

4. Payment Terms

All fees for services rendered by Glovaski Global are outlined in the project proposal or agreement. By engaging our services, you agree to the following payment terms:

Deposit: A non-refundable deposit of 50% of the total project fee is required before work commences, unless otherwise agreed in writing.

Final Payment: The remaining balance is due upon project completion and prior to the final delivery of files, launch of the website, or transfer of any assets.

Late Payments: Invoices not paid within 14 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance. Glovaski Global reserves the right to suspend or withhold deliverables until all outstanding balances are settled.

Accepted Payment Methods: Payment methods will be specified in your project agreement. All fees are quoted in U.S. Dollars.

5. Revisions & Change Requests

Each project includes a defined number of revision rounds as outlined in the project agreement. Revisions are understood to mean minor adjustments to existing approved work — not fundamental changes to direction, scope, or concept.

Requests that fall outside the agreed scope, including new pages, additional features, or significant redesigns, will be treated as change orders and billed at our standard hourly or project rate. All change orders must be agreed upon in writing before additional work begins.

6. Intellectual Property & Ownership

Client Ownership: Upon receipt of full and final payment, Glovaski Global transfers full ownership of the final deliverables to the client. This includes all design files, source code, and assets created specifically for your project.

Third-Party Assets: Ownership does not extend to third-party resources such as licensed stock photography, fonts, plugins, or software frameworks. The client is responsible for obtaining and maintaining any necessary licenses for third-party assets used in their project.

Portfolio Rights: Glovaski Global reserves the right to display completed work in our portfolio, on our website, and across social media platforms for promotional purposes, unless the client requests otherwise in writing prior to project completion.

Pre-Payment: All work created by Glovaski Global remains the intellectual property of Glovaski Global until full payment has been received.

7. Confidentiality

Glovaski Global treats all client information, business data, and project details as confidential. We will not disclose your proprietary information to any third party without your prior written consent, except as required by law or as necessary to complete your project using trusted service providers who are themselves bound by confidentiality obligations.

We ask that clients treat any processes, pricing structures, or proprietary methodologies shared by Glovaski Global with the same level of discretion.

8. Cancellations & Refunds

Client Cancellation: If you wish to cancel a project after work has commenced, you must notify us in writing. You will be invoiced for all work completed up to the date of cancellation at our standard rate. The initial deposit is non-refundable under all circumstances.

Agency Cancellation: Glovaski Global reserves the right to terminate a project if the client engages in abusive, unethical, or unlawful conduct, or fails to fulfill payment obligations. In such cases, the client will be invoiced for all work completed to date.

Refunds: Due to the custom and time-intensive nature of our services, refunds are not issued for completed work or work in progress beyond the initial deposit.

9. Warranties & Disclaimers

Glovaski Global warrants that all work is completed with professional skill and care. However, we make no guarantees regarding specific business outcomes, search engine rankings, conversion rates, or revenue generated as a result of our services.

Our website and services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law.

10. Limitation of Liability

To the maximum extent permitted by law, Glovaski Global and its founder Giovanni Glovaski shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of profits, data, business opportunity, or goodwill.

In no event shall our total liability to you for any claim arising out of or relating to these Terms or our services exceed the total amount paid by you to Glovaski Global in the three months preceding the claim.

11. Third-Party Tools & Platforms

We may recommend or use third-party tools, platforms, plugins, or services in the delivery of your project (such as content management systems, hosting providers, or e-commerce platforms). Glovaski Global is not responsible for the terms, performance, pricing changes, or discontinuation of any third-party service. Any agreements you enter into with third-party providers are solely between you and that provider.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Hillsborough County, Florida.

13. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached within 30 days, the parties agree to pursue mediation before initiating any legal proceedings.

14. Entire Agreement

These Terms and Conditions, together with any signed project agreement or proposal, constitute the entire agreement between you and Glovaski Global with respect to the subject matter herein and supersede all prior communications, representations, or agreements, whether written or oral.
